Rebecca K. Eaton

Shareholder

Rebecca is a Shareholder and Senior Attorney at Kearney, McWilliams & Davis, where she was instrumental in launching the firm's Dallas-Fort Worth office in 2022. Drawing on over 18 years of experience, including significant time as a Chief Legal Officer for a large healthcare organization and general counsel for numerous practices and small businesses, Rebecca provides strategic, results-driven counsel to businesses, shareholders, executives, and healthcare providers.

As a master problem-solver, Rebecca excels at quickly identifying core interests and potential leverage points in complex scenarios—whether a high-stakes transaction, a sensitive employment issue, or a brewing legal dispute.

Business, Transactions, and Employment

Rebecca’s current practice focuses on representing business and healthcare clients in corporate, transactional, and employment matters, including:

  • Structuring complex transactions and business arrangements;
  • Forming new entities and preparing corporate governing documents;
  • Drafting employment manuals, policies, and agreements; and
  • Resolving pre-litigation business, employment, and shareholder disputes.

Business Litigation

Rebecca is a staunch advocate for early dispute resolution, always prioritizing avenues that protect her clients’ best interests and resources. However, when compromise is unlikely, she transitions seamlessly into a tenacious litigator, prepared to aggressively defend her clients’ positions in state and federal courts and arbitration, including:

  • Business and contract disputes;
  • Trade secret, intellectual property, and non-compete claims;
  • Director and shareholder conflicts;
  • Fiduciary duty claims;
  • Employment litigation;
  • High-asset trust and estate disputes; and
  • Cases involving document-intensive discovery, electronically stored information (ESI), robust eDiscovery processes, and forensic examinations of digital devices.

Healthcare Experience: The Physician’s Advocate SM

Prior to KMD, Rebecca served as Chief Legal Officer for Exceed Healthcare, a long-time client. In this role, she leveraged her business acumen to guide the company's rapid multistate expansion of critical care, hospitalist medicine, neurology, and neurocritical care coverage service lines, including virtual-care models.

Personal

Outside of her practice, Rebecca enjoys training for endurance events and recently completed the 2-day Bike MS: Ride to the River event. She also enjoys downtime with her two Bichon rescue pups, Oscar and Disco.
